Item 5.03 Amendments to Articles of Incorporation or Bylaws; Change in Fiscal Year. | |||
On November 3, 2010, the Company filed an amendment to its articles of incorporation (the Articles of Amendment) with the Maryland State Department of Assessments and Taxation. The Articles of Amendment were approved by the requisite vote of the Companys board of directors on October 25, 2010 and were effective November 3, 2010. The Companys board of directors, without any action by the stockholders of the Company, may amend the Companys articles of incorporation from time to time to increase or decrease the aggregate number of shares of stock or the number of shares of stock of any class or series that the Company has authority to issue.
