Departure of Directors or Certain Officers; Election of Directors; Appointment of Certain Officers; Compensatory Arrangements of Certain Officers.

(d) Appointment of New Independent Director
Chimera Investment Corporation (the “Company”) announced today that Kevin G. Chavers has been appointed to the Company’s Board
of Directors (the “Board”). Mr. Chavers will serve as Chair of the Compensation Committee and on the Risk Committee of the Board .
Mr. Chavers will be compensated in accordance with the Company’s standard compensation policies and practices for the Board, the
components of which were disclosed in the Company’s Proxy Statement for its 2021 Annual Meeting of Stockholders filed with the Securities and Exchange Commission (the “SEC”) on April 27, 2021.
Mr. Chavers has entered into the Company’s standard indemnification agreement, a copy of which is filed as Exhibit 10.6 to the
Company’s Quarterly Report on Form 10-Q filed with the SEC on November 5, 2015. There are no other arrangements or understandings between Mr. Chavers and any other person pursuant to which he was appointed to the Board. There are also no family
relationships between Mr. Chavers and any director or executive officer of the Company and Mr. Chavers does not have any direct or indirect material interest in any transaction required to be disclosed pursuant to Item 404(a) of Regulation S-K.
